Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SaaSySMS platform available at saasysms.com ("Service"), operated by SaaSySMS ("we", "us", "our"). By creating an account or using the Service you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding contract. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Your account

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorised access.

3. Acceptable use

You agree not to use the Service to:

  • Send unsolicited messages (spam) or messages to recipients who have not consented
  • Violate the TCPA, CASL, or any applicable messaging law
  • Send messages containing illegal content, threats, harassment, or hate speech
  • Impersonate any person or entity
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure
  • Reverse engineer, decompile, or otherwise attempt to extract source code
  • Resell or sublicense the Service without our written permission

We reserve the right to suspend or terminate accounts that violate these rules without notice.

4. SMS compliance

You are solely responsible for ensuring all SMS messages comply with applicable laws and carrier regulations, including obtaining proper consent from recipients, honouring opt-out requests promptly, and registering campaigns with The Campaign Registry (TCR) where required for 10DLC numbers in the United States.

5. Payments and billing

Subscription fees are billed in advance on a monthly basis via Stripe. Credit packages are charged at the time of purchase. All fees are non-refundable except where required by law. We reserve the right to change pricing with 30 days' notice.

6. Credits

SMS credits are consumed when messages are sent. Credits have no cash value and are non-transferable between workspaces. Subscription credits expire at the end of the billing period. Purchased credit packages do not expire.

7. Intellectual property

The Service is owned by SaaSySMS and protected by intellectual property laws. You retain ownership of the data you upload or create. You grant us a limited licence to store and process that data solely to provide the Service.

8. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be error-free or uninterrupted.

9. Limitation of liability

To the maximum extent permitted by law, SaaSySMS shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless SaaSySMS and its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

You may cancel your account at any time through the billing portal. We may suspend or terminate your account at any time for violation of these Terms. Upon termination, your right to use the Service ceases immediately.

12. Governing law

These Terms are governed by applicable law. Disputes shall be resolved through good-faith negotiation first, then binding arbitration or the courts of the jurisdiction in which SaaSySMS operates.

Master Service Agreement (MSA)

This Master Service Agreement ("MSA") supplements the Terms of Service above and applies to all business and enterprise customers of SaaSySMS. In the event of a conflict between this MSA and the Terms of Service, this MSA shall govern.

MSA 1. Definitions

  • "Customer" means the business entity that has registered for the Service.
  • "Authorised Users" means employees or contractors of the Customer permitted to use the Service.
  • "Customer Data" means all data submitted by the Customer or its Authorised Users.
  • "Service Level" means the subscription tier selected by the Customer.

MSA 2. Licence grant

Subject to payment of applicable fees and compliance with these terms, SaaSySMS grants the Customer a non-exclusive, non-transferable, limited licence to access and use the Service for the Customer's internal business purposes during the subscription term.

MSA 3. Data processing

SaaSySMS processes Customer Data solely to provide and improve the Service. We implement commercially reasonable technical and organisational measures to protect Customer Data against unauthorised access, loss, or disclosure. We will not sell Customer Data to third parties. For GDPR purposes, the Customer is the data controller and SaaSySMS is the data processor.

MSA 4. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party in connection with the Service ("Confidential Information") and not to disclose it to third parties without prior written consent, except as required by law.

MSA 5. Service availability

SaaSySMS targets 99.5% monthly uptime for the core messaging platform, excluding scheduled maintenance windows. Scheduled maintenance will be communicated with at least 24 hours' notice where practicable. Uptime is measured on a calendar-month basis.

MSA 6. Support

SaaSySMS provides email support at [email protected] during business hours (Monday–Friday, 9 am–6 pm ET). Response times are best-effort and not guaranteed unless a separate support agreement is in place.

MSA 7. Subscription term and renewal

Subscriptions are billed monthly and renew automatically unless cancelled before the renewal date. Annual plans, where available, renew annually. Cancellation takes effect at the end of the current billing period; no pro-rata refunds are issued.

MSA 8. Audit rights

SaaSySMS may audit the Customer's use of the Service on reasonable notice to verify compliance with these terms. The Customer agrees to cooperate with any such audit and to provide reasonable access to relevant records.

MSA 9. Entire agreement

This MSA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between the parties with respect to the Service and supersedes all prior negotiations, representations, or agreements. Any amendment must be in writing and signed by both parties or accepted through the platform's terms-acceptance mechanism.
